A New Opportunity in Proven U.S. Oil & Gas Assets: US Capital Global Securities Announces $37 Million Thresher Energy Offering

Explore an investment opportunity in Thresher Energy, an independent U.S. oil and gas producer focused on unlocking value from proven conventional assets across Kansas, Oklahoma, and Texas.

US Capital Global Securities LLC, the SEC-registered broker-dealer affiliate of the global financial group US Capital Global, is pleased to present eligible investors with the opportunity to participate in a $37 million financing for Thresher Energy, Inc. (“Thresher” or the “Company”), comprising preferred stock and joint venture equity.

Headquartered in Houston, Texas, Thresher is a privately held upstream oil and gas exploration and production company with operations across Kansas, Oklahoma, and Texas. The Company currently produces approximately 170 net barrels of oil equivalent per day (BOE/D), with approximately 75% of production weighted toward oil and liquids, and operates approximately 98% of its wells.

Thresher’s principal asset is the Maddix Field in Cowley County, Kansas, where the Company controls approximately 3,300 acres in the Mississippian Lime formation. Together with directly offsetting acreage in the surrounding Extension area, this position represents the cornerstone of Thresher’s development strategy. Thresher and its predecessors have drilled 30 wells in the Maddix Field and nine wells in the Extension, providing the Company with an extensive body of operating, geological, and subsurface data to guide future development.

A significant portion of this reserve base remains undeveloped. Approximately 77% of Thresher’s proved reserve value is classified as proved undeveloped, and the Company has identified more than 50 proven undeveloped drilling locations on acreage already held by production. These locations can therefore be advanced without the requirement to secure additional leases, providing Thresher with a defined inventory for potential future development.

“Our strategy is focused on applying modern technology, detailed subsurface knowledge, and disciplined capital allocation to conventional oil and gas assets that we know exceptionally well,” said Keith Fite, President and CEO of Thresher. “We have spent more than two decades developing our understanding of the Maddix Field and surrounding acreage, building a substantial technical dataset and identifying a repeatable inventory of development opportunities. This financing is intended to strengthen our balance sheet and provide the capital needed to advance that inventory and pursue the next stage of Thresher’s growth.”

Thresher’s near-term development program includes returning five currently shut-in wells to production. The Company’s broader strategy is centered on conventional, technically understood basins and assets held by production. Rather than relying exclusively on higher-cost unconventional development, Thresher seeks to combine its existing geological data with reservoir modeling, optimized completion techniques, workovers, horizontal applications, and targeted acreage acquisitions to unlock additional value from mature and underdeveloped fields.

“Thresher Energy presents investors with an opportunity to participate in the redevelopment of established U.S. oil and gas assets supported by existing production, a substantial reserve base, and an identified inventory of future drilling locations,” said Charles Towle, CEO of US Capital Global Securities LLC. “The Company’s high degree of operational control, long-standing knowledge of its core Kansas assets, and focus on lower-cost conventional development distinguish its strategy within the upstream energy sector. We are pleased to be assisting Thresher with this $37 million offering and invite eligible investors to learn more about the opportunity.”
